What remains of the fee: P2P team economics and contracts

Calculate profit separately from available cash. Fee bases, collateral, retentions, loss allocation and exit terms matter more than advertised rates.

A 2.2% fee looks straightforward until the parties establish its base and who pays for everything else. A trader team still has operators, banking and network charges, conversion, dispute handling, capital and operational-error exposure. The contract determines which costs actually belong to the team. Without it, multiplying turnover by a percentage provides only an attractive starting figure.

This is a hypothetical commercial analysis of a lawfully structured model. All amounts, rates and the period are assumptions, not market tariffs or return forecasts. The enforceability of clauses depends on jurisdiction, the parties' roles and the actual service. The purpose is to make negotiation testable against shared arithmetic.

Define the event that earns the fee

Suppose customers create orders for 1,200,000 currency units during a month, while confirmed and allocated receipts total 1,000,000. A 2.2% fee on the latter generates revenue of 22,000. Applying it to all created orders produces 26,400. The 4,400 difference is not a receivable if the contract provides no entitlement to it.

Next consider refunds. Do they reduce the base of a previously earned fee? Is there a separate charge for an executed withdrawal? What happens to partial payments and late receipts following cancellation? A duplicate notification should not generate another fee. The tariff page and ledger formula must describe the same event or disagreement will follow the first period close.

Changes need a clear mechanism: who gives notice, when a new rate starts and whether it applies to already-accepted instructions. A right to reprice retrospectively makes a verified calculation unstable. Keep the tariff applicable to each operation, rather than only the current number displayed in the panel.

One month without the romance of turnover

From illustrative revenue of 22,000, the team pays operators 13,000. Direct transfer costs are 1,600; conversion results and related costs are 900; servicing and exception handling cost 1,500. Confirmed losses allocated to the team total 700. The assumed funding cost is another 500. This leaves 3,800 before any omitted taxes and other expenses.

Define each line. If wages are already included in 13,000, do not charge them again in full as servicing costs. If an FX difference is included in 900, do not add it again to banking charges. Separate estimates of future losses from losses already incurred. Accounting policy may require provisions and estimates, but the management model must disclose what it includes.

Now add an unexpected confirmed loss of 2,000 that the contract allocates to the team. All else equal, the result falls from 3,800 to 1,800. A promise that the processor bears every risk therefore requires checking exclusions, evidence requirements and the actual compensation process. Earnings depend not only on the rate but also on who bears an infrequent expensive event.

Why profit may exist without withdrawable cash

Assume 50,000 of working funds, 20,000 of security collateral and 30,000 of retained settlements are committed separately. If these do not overlap, total tied-up capital is 100,000. The illustrative 3,800 result divided by that amount is 3.8% for the month considered. This is a diagnostic calculation, not a product return; it should not be automatically annualised.

The retained 30,000 does not itself become an expense in that month. It changes cash availability. An expense or impairment depends on the relevant accounting basis, not merely on the existence of a hold. Security collateral also cannot simultaneously count as a cost, free liquidity and settlement of a merchant obligation.

Payvora's public refund policy separates its security deposit from a confirmation balance and makes release dependent on outstanding operations, disputes and restrictions. These are the service's published terms, not independent evidence of reliability or actual repayments. The negotiating lesson is that refundable does not mean available on demand.

Clauses that actually allocate risk

The service description should identify who receives funds, owns accounts, executes instructions and owes settlement. A contract providing panel access is not equivalent to a promise to repay every displayed balance. Where subcontractors are involved, establish whom a claim can be brought against if the problem originates with them.

Collateral terms should identify owner, custodian, permitted deductions, evidence of loss, dispute rights, replenishment and release. Agree what disputed amount can be retained and when the remainder may also be affected. Do not promise an identical retention limit for every circumstance: an external lawful restriction may change access independently of the contract.

Analyse liability by event. Incorrect allocation, wrong recipients, forged documents, technical duplicates, bank restrictions and misleading merchant information have different causes. Ask the same questions for each category: who proves the event, who must mitigate the consequences, how is loss calculated and who approves compensation? Making the trader responsible for everything conceals these distinctions.

A liability cap deserves separate scrutiny. If compensation is capped by fees over a short period, it may be much smaller than the funds held by the counterparty. Establish which obligations the cap covers and how the parties treat funds not remitted. That is a legal drafting issue, not something resolved by agreeing a percentage in a commercial chat.

Discuss exit before entry

The agreement needs a process for stopping new instructions, completing existing ones, performing final reconciliation and handing over records. Address earned fees, collateral, retained settlements and unresolved disputes separately. Combining them into a promise to return the balance after review is insufficient without defining that review and the challenge process.

A sound offer lets both parties calculate an ordinary month, a difficult month and a shutdown using the same rules. A strong team competes through a comprehensible execution price, demonstrable settlement and terms under which earned money becomes available, rather than through the highest headline rate.
